Website Terms
These website terms do not replace formal client agreements.
1. Provider details

2. Website information
Website content is general business and service information. It does not by itself create a client relationship, binding offer, guarantee, final project scope or obligation to provide a service.
Memory(One) may correct, update or withdraw website information. A signed or otherwise accepted written agreement controls where it conflicts with general website copy.
3. Services and agreement hierarchy
Project services are provided only under an agreed proposal, statement of work, order form or other written agreement. That agreement should define scope, deliverables, systems, access, environment, ownership, milestones, price, payment, third-party costs, responsibilities, acceptance, support, changes and applicable guarantees.
Managed Automation also requires a written agreement covering the Launch scope and the selected care or support arrangement.
4. Public prices
Public prices are orientation only:
- from-prices are starting points, not fixed quotes;
- Managed Automation Launch is 13,900 DKK fixed for the agreed standard first-workflow scope;
- all prices are excl. VAT and third-party costs unless the written agreement states otherwise;
- final project pricing depends on systems, access, integrations, data, security, documentation, stakeholders, procurement, operating criticality, support and acceptance requirements.
5. Third-party costs and services
For project services, external cloud resources, model or API usage, data storage, automation platforms, messaging, specialist software, premium connectors and customer business-software subscriptions are separate unless expressly included in writing.
For Managed Automation:
The monthly service price includes Memory(One)'s infrastructure, hosting and internal platform. Genuine consumption-based external costs — such as AI or token usage, automation-platform execution, SMS or messaging, advertising spend and other customer-specific external usage — are charged separately. We estimate these costs before launch and agree how they will be billed.
Third-party services remain subject to their own availability, security, privacy and terms. Memory(One) does not control a third-party provider's independent service changes or outages.
6. Project services
Foundation, Operations and Custom Build projects generally use client-owned or client-approved environments. Engagement-specific code, connectors, schemas, transformations, data, documentation, runbooks and deployed infrastructure are handled under the written agreement.
Memory(One) retains generic methods, reusable patterns, pre-existing tooling, templates and non-customer-specific know-how. Memory(One) does not reuse customer data, confidential business logic or customer-specific configuration in another engagement.
A client must provide the internal owner, decision-making, access, approvals, business definitions, feedback and system information required by the agreement. Missing access, approvals or source limitations may change timing, guarantee applicability or price.
7. Post-Launch Support & Improvement
Post-Launch Support applies only to the systems, pipelines, dashboards, workflows and response expectations named in the support agreement. It is not unlimited support.
Large new connectors, dashboards, automations, redesigns, rollouts, custom apps, special SLAs and material scope changes require a change request or separate project.
8. Managed Automation Launch, care and support
Managed Automation is a subscription-operated product for one bounded workflow at a time.
The Launch fee covers discovery, configuration, testing and launch on the Memory(One)-managed platform. It does not purchase a standalone copy of the platform or a perpetual right to operate the hosted workflow independently.
After launch:
- the care agreement runs monthly;
- cancellation is the current month plus 30 days;
- service remains active through the paid notice period;
- portal access, hosted operation, monitoring, support and updates depend on the active subscription;
- no uninterrupted-operation promise or custom SLA exists unless expressly agreed in writing;
- a manual fallback remains the customer's operational responsibility.
Managed Support is offered at 999 DKK/month, billed monthly in advance, as a lower-cost incident-response option for a covered workflow. It includes one customer-raised incident per billing month and up to 60 minutes of investigation or correction for that incident. Memory(One) provides an initial response within two working days during the service window: Monday–Friday, 09:00–16:00 Copenhagen time, excluding Danish public holidays. This is an initial-response commitment, not a resolution SLA. The allowance does not accumulate, and additional time or work requires approval and a fixed quote. Managed Support does not include continuous monitoring, proactive maintenance, routine health checks, a monthly small-change allowance, new functionality, new integrations, redesign, data cleanup or custom SLA coverage unless expressly agreed.
During the warranty period stated in the written agreement, Memory(One) corrects issues caused by its own implementation or configuration at no additional charge. New requirements, customer changes, access changes, customer-owned system changes and failures or changes in external providers are outside that no-charge correction boundary unless expressly agreed.
9. Managed Automation ownership and exit
The customer owns its data, documents, business rules, process knowledge, outputs written into its systems and customer-owned accounts.
Memory(One) retains the Memory(One) platform, shared connectors, monitoring components, reusable workflow templates, generic delivery improvements and managed configuration model. Customer-specific managed-platform configuration is licensed only while subscribed.
When the subscription ends:
- portal access ends;
- Memory(One)-hosted workflows stop;
- monitoring, support and updates stop;
- customer credentials held by Memory(One) are revoked or deleted;
- customer data is exported or deleted according to the agreement;
- outputs already written into customer-owned systems remain there;
- customer-owned accounts remain the customer's;
- an exit archive and offboarding summary are provided as agreed.
The exit archive is descriptive and is not an independently executable automation.
10. Migration Assistance
Migration Assistance starts from 5.000 DKK and is fixed-quoted after the destination is reviewed. Pricing varies depending on project scope. It may recreate the workflow in a customer-owned account, transfer customer-owned credentials, configure monitoring, test the independent workflow and provide limited documentation and onboarding.
An isolated runtime, source package, custom infrastructure or production handover is Custom Build, not standard Migration Assistance.
11. Acceptable website use
A visitor must not:
- attempt unauthorised access;
- interfere with website operation;
- submit unlawful, malicious or rights-infringing content;
- upload credentials, secrets or sensitive personal data without a legitimate and agreed reason;
- misuse forms for spam, abuse or automated load;
- misrepresent identity or authority.
12. Website intellectual property
Unless otherwise stated, website text, branding, graphics, layouts and non-client materials belong to Memory(One) or its licensors. A visitor may view and share links to the public site but may not present the content as its own or use Memory(One) branding without permission.
Project deliverables and Managed Automation are governed by their separate ownership models above and the applicable written agreement.
13. No professional advice
Memory(One) provides data, automation, infrastructure and workflow implementation with operating controls. Website content is not legal, accounting, tax, ESG, audit, medical, employment, credit or formal compliance advice.
14. Availability and external links
Memory(One) may change, suspend or correct website content and cannot promise uninterrupted website availability. External links, including booking links, lead to third-party services with their own terms and privacy practices.
15. Liability and disclaimers
Liability, exclusions, warranties, reliance, remedies and any agreed limitation of liability for paid services are governed by the applicable written agreement and mandatory law. Website content does not create a service warranty, guarantee or remedy beyond an applicable written agreement.
16. Governing law and disputes
The documented default is Danish law and the Court of Frederiksberg (Retten paa Frederiksberg). If a signed SOW, agreement or addendum expressly selects arbitration or another dispute process, that signed document controls for the relevant engagement.
